Engagement terms
Short, plain terms for working with The Store Check. A written quote or agreement for a specific engagement takes precedence where it differs.
Who you are dealing with
The Store Check is a business name operated by Matthew Offen, sole trader, Sydney, Australia. “I” and “me” in these terms mean Matthew Offen trading as The Store Check.
Quotes and scope
Paid work is described in a written quote listing inclusions, exclusions, assumptions and price. “From” prices on this site are the starting price for the described package and may be higher for larger or more complex stores; the quote states the actual price. GST treatment is confirmed on the quote. Work outside the quoted scope is agreed in writing before it starts and may be charged separately. A quote is valid for 30 days unless it says otherwise.
Free introductory offers
The free mobile store scorecard is capped at three priority findings and a short manual review, and is delivered within two business days only when capacity permits. It is offered at my discretion, may be declined or delayed when I am fully booked, and creates no obligation on either side. It is general guidance based on the public store and is not a guarantee of any result.
Response targets
I aim to reply to enquiries within one business day, Monday to Friday, 9am to 5pm (Australia/Sydney). This is an initial-response target, not a resolution or delivery time. There is no 24/7 or on-call service.
Client systems, accounts and licences
Your Shopify plan, theme licences, apps, hosting, domains, payment providers and third-party systems remain your responsibility and your cost. Access to your systems is arranged through the relevant provider's collaborator or user workflows, never by sharing passwords, and may be withdrawn by you at any time. You are responsible for keeping backups of your data and for the accuracy of data you supply for migration.
Delivery and acceptance
Work is released at a time agreed with you. You should check released work promptly and report problems within 14 days; I fix defects in the delivered scope at no charge during that period. Timings in quotes are estimates made in good faith and depend on your timely input; they are not fixed delivery dates unless the quote says so explicitly.
Payment and intellectual property
Sprints are invoiced 50% to book and 50% on release; migrations are staged as set out in the quote; reviews are invoiced on delivery. Invoices are due within 14 days. On payment in full, you own the deliverables and the code created for you. I retain the right to reuse general techniques, know-how and non-client-specific components.
No guarantees of results
I do not guarantee sales uplift, conversion rates, search rankings, traffic or cost savings. Measurements are reported honestly from your own analytics and may show no change.
Liability
To the extent permitted by law, including the Australian Consumer Law, my total liability for any claim arising from an engagement is limited to the fees you have paid for that engagement, and I am not liable for indirect or consequential loss, including lost sales or profits. Nothing in these terms excludes rights that cannot be excluded by law.
Confidentiality and case studies
I keep your business information confidential. I will not publish a case study, your name or your results without your written permission.
Ending an engagement
Either of us may end an engagement with written notice. You pay for work completed to that point; I hand over work in progress in a usable state.
Governing law
These terms are governed by the laws of New South Wales, Australia, and the courts of New South Wales have jurisdiction.
